We were contacted by one of the world’s largest private equity firms and asked to assist with the development of a novel strategic plan and fund raising strategy for their portfolio company, a technology-enabled healthcare service provider. Through a highly effective collaboration with senior management, we helped develop a new strategy, including the novel use of alliances and other distinct elements, to support and accelerate growth. The new strategy was a key aspect of a successful capital raising effort that expanded the company’s capital base with a growth equity financing of over $30M.

Advice for Venture-Backed Company and Related Financing

We were contacted by a group of top-tier venture capitalists to evaluate several alternative business strategies and to provide an opinion as to whether to continue to fund a troubled portfolio company. Our advice clarified the company’s direction, was key to breaking a board deadlock and provided support for a bridge financing to support an orderly sale of the company, which was completed successfully.

Acquisition and Turnaround of a Distressed Business

We were approached by the Chairman of the Board and CEO of a successful medical device business seeking advice and assistance with the acquisition and turnaround of a troubled, but complementary medical device business. We worked with this CEO to develop a unique plan that integrated both a turnaround and a growth strategy for the combined businesses. We then integrated this work into an acquisition plan, an innovative capital structure and an operating plan. We structured and negotiated multiple debt instruments for the acquisition and then led strategy and operating plan exercises for senior management of the combined businesses. The implementation of this work resulted in a successful turnaround of the acquired business in less than 120 days and allowed the combined businesses to quickly become the leader in their market segment in less than a year.

We were approached by a leading law firm to assist with the evaluation of pending international patent rights and related issues associated with a dispute involving the market potential and enterprise value of a novel medical technology. Our advice established the valuation of the potential device in its current form, as well as contingent values associated with expanded indications, resulting in a clarified negotiating range that led to a favorable resolution of the dispute in favor of our client.

Assessment of Growth Equity Investment for Private Equity Firm

We advised a leading private equity firm with its evaluation of a potential investment in a novel, implantable medical device to treat a chronic, global disease. Our work included using our network to interview leading scientists and physicians in the U.S. and Internationally to evaluate the scientific premise of the device and to determine whether the scientific premise of the device was supported by existing clinical trial data and future clinical trial designs. We also provided a unique assessment of the exit potential of the opportunity through our contacts with leading potential acquirers of the device, and conducted in-depth business due diligence where we applied our domain knowledge to supplement the investment expertise of our client.
